Grabby Terms of Use

These Terms of Use (ToU) constitute an electronic record within the meaning of the Information Technology Act, 2000 and the rules made thereunder, as amended from time to time. These Terms are generated by a computer system and do not require any physical or digital signatures.
By accessing or using the Platform, you consent to the use of electronic records and electronic communications for all purposes related to your use of the Platform, including the acceptance of these Terms. Such electronic records and communications shall be deemed valid, binding, and enforceable in accordance with applicable law.
All records, logs, and data generated or maintained by Grabby in electronic form, including but not limited to usage data, access logs, and system records, shall be considered true, accurate, and admissible as evidence in any legal or administrative proceedings, to the extent permitted under applicable law.
You agree that any consent provided through electronic means, including by way of clicking “accept,” “agree,” or similar actions, shall have the same legal effect as a written signature under applicable law.

1. Introduction and Legal Entity

Grabby is a technology-driven discovery and comparison platform owned and operated by Grabby Innovations Private Limited, a company incorporated under the Provisions of Companies, Act 2013 bearing CIN:U62099CT2025PTC018853 having its registered office at B-01, RIDDHI SIDDHI, PHASE 3, Rajnandgaon, Chattisgarh 491441. The Platform is designed to assist users in navigating the quick-commerce ecosystem by aggregating and presenting comparative information relating to products available across multiple third-party platforms. Grabby enables users to evaluate key factors such as price, delivery timelines, availability, and serviceability, and facilitates seamless redirection to third-party platforms where the actual transaction is completed. Grabby does not operate as a marketplace, seller, or delivery service provider and does not participate in or control any transaction between users and third-party platforms. The Platform functions solely as a neutral decision-support interface intended to enhance user convenience and transparency in online purchasing decisions.

1A. Eligibility and User Responsibility

The Platform is not intended for use by persons under 18 years. If accessed by a minor, all liability shall rest with the parent/guardian, and Grabby disclaims any liability arising therefrom.

2. The Nature of Grabby: A Decision-Support and Discovery Interface

Grabby acts as an independent, neutral comparison and discovery interface. It is designed to help users navigate the quick-commerce ecosystem by providing a multi-factor decision-support framework.

  • Core Function: Grabby enables users to search for products and view comparative information across multiple platforms to facilitate a redirect for purchase.
  • Multi-Factor Nature: Results are presented based on factors including price, delivery time, availability, and serviceability.
  • Trade-Off Acknowledgement: Users acknowledge that results involve trade-offs (e.g., lower price may mean slower delivery). Grabby does not evaluate these trade-offs as superior or inferior; they are presented solely for user evaluation.
  • Ad-Supported Platform: Grabby is free to use for all users. To sustain and improve the Platform, Grabby may display third-party advertisements. These advertisements are always clearly distinguishable from comparison results and do not influence, alter, or affect the neutrality, ranking, or presentation of any product or platform information displayed on Grabby.
  • Independent Status: Grabby is NOT a marketplace, seller, or delivery provider. We do not process payments or handle fulfillment. All transactions occur directly on third-party platforms.

3. How the Platform Works

Grabby operates strictly on a User-Initiated Action basis.

  • Searches are triggered only by user queries; information is displayed in response to those specific queries.
  • Redirection occurs only upon an explicit, voluntary choice by the user.
  • Grabby does not independently initiate transactions or automate purchasing on your behalf.

Results may vary across users, sessions, and locations.

While Grabby is currently independent, we may, in the future, receive referral or affiliate commissions from third-party platforms for traffic redirected through the Platform. Such arrangements, if any, shall not influence the neutrality or ranking of search results.

4. Data Nature, Estimation, and “No Reliance”

• 3.1 Information displayed on the Platform, including prices, delivery estimates, and availability, is sourced from publicly accessible interfaces and represents a snapshot at the time of retrieval. Such data is subject to frequent change and may not reflect real-time conditions. 4.2 Estimated values (including delivery fees, surge charges, and handling charges) are derived using system logic and may materially differ from the final amounts charged by third-party platforms.

• 4.3 The “Final Price” Rule: The final price is determined exclusively by the third-party platform at checkout and may include taxes or fees not visible on Grabby.

4. 4.4 Users must independently verify all product details, pricing, and availability on the relevant third-party platform before completing any transaction. Grabby shall not be liable for any loss, financial or otherwise, arising from user reliance on Platform data

5. Cookies and Similar Technologies

To facilitate a seamless user experience and maintain core Platform functionality, Grabby utilizes local device storage, session tokens, and integrated Software Development Kits (SDKs). These standard technologies allow the Platform to operate efficiently without requiring repetitive manual inputs during each session.

We process this data strictly to fulfill the following operational purposes:

  • Authentication and Security: To securely manage your active sessions, verify account credentials, and safeguard the Platform against unauthorized access or fraudulent activity.
  • Service Fulfillment and Preferences: To retain your customized interface settings, such as "Saved" items, and process the specific delivery addresses you provide. As a proximity-based discovery platform, geographic context is essential to retrieve accurate availability; however, the Platform relies exclusively on user-initiated inputs. We do not engage in continuous background location processing. Your location parameters are utilized strictly when you manually enter an address or actively interact with location-based features.
  • Platform Analytics and Optimization: To process aggregated, non-identifiable system metrics. This enables us to evaluate network load, diagnose technical connectivity issues, and allocate server resources effectively based on regional usage density. This ensures the Platform remains highly responsive, stable, and reliable across all serviceable areas.

Managing Your Settings:

You maintain full administrative control over these functional parameters through your device’s operating system. You may modify location permissions, clear the application cache, or terminate your session (log out) at any time, which will automatically clear locally stored session data.


6. User Conduct and Prohibited Use

By accessing or using the Platform, you agree to use Grabby solely for lawful purposes and in accordance with these Terms. You undertake not to engage in any activity that may harm, disrupt, or misuse the Platform or its services.

Without prejudice to the generality of the foregoing, you agree that you shall not:

  1. Unlawful Use: Use the Platform in any manner that violates applicable laws, regulations, or third-party rights, including but not limited to intellectual property, privacy, or data protection laws.
  2. Misuse of Data: Copy, scrape, extract, harvest, or otherwise collect any data, content, or information from the Platform through automated means, including bots, crawlers, or scraping tools, without prior written consent of Grabby.
  3. Interference with Platform: Engage in any activity that disrupts, interferes with, or adversely affects the functionality, performance, or security of the Platform, including introducing viruses, malware, or harmful code.
  4. Unauthorized Access: Attempt to gain unauthorized access to any portion of the Platform, servers, systems, or networks connected to the Platform, or bypass any security or authentication measures.
  5. Reverse Engineering: Decompile, disassemble, reverse engineer, or attempt to derive the source code, algorithms, or underlying structure of the Platform.
  6. Misrepresentation: Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity.
  7. Commercial Exploitation: Use the Platform or its data for any unauthorized commercial purpose, including competing services, data resale, or benchmarking, without express authorization.
  8. Abuse of Services: Engage in excessive, abusive, or fraudulent usage of the Platform, including generating artificial traffic, manipulating search results, or exploiting system vulnerabilities.
  9. Violation of Third-Party Terms: Use the Platform in a manner that violates the terms, policies, or conditions of any third-party platform to which you may be redirected.

Grabby reserves the right, at its sole discretion and without prior notice, to suspend, restrict, or terminate your access to the Platform if it reasonably believes that you have violated this clause or any other provision of these Terms. Such actions shall be without prejudice to any other legal remedies available to Grabby under applicable law.

7. Neutrality, Ranking Logic, and Non-Exhaustiveness

  • • 5.1 Neutral Interface: Grabby is a neutral space intended to provide transparency and does not promote any specific platform.
  • • 5.2 Ranking Logic: The visibility of results is influenced by user inputs, estimated values, and system logic. Displayed results do not represent a “definitive” or “universally optimal” ranking.
  • • 5.3 Non-Exhaustiveness: Grabby does not guarantee that all platforms, products, or options available in a given location are displayed.

8. Intellectual Property s Nominative Fair Use

All brand names, product names, logos, and images are the property of their respective owners. Their presence on Grabby is for nominative and descriptive identification purposes only and does not imply affiliation, endorsement, or sponsorship.

9. Technical Operations s Intermediary Protocols

  • Access Method: We use methods consistent with standard user access patterns to retrieve publicly available information.
  • No Circumvention: We do not seek to access restricted systems, interfere with platform operations, or circumvent technical safeguards.
  • Editorial Control: Grabby does not exercise editorial control over third-party data beyond its presentation for comparison purposes.
  • Data Sourcing & Availability: Grabby presents information sourced from publicly accessible interfaces and display surfaces made available by third-party platforms in the ordinary course of their operations. Grabby does not guarantee the continued availability, completeness, or uninterrupted accuracy of such information, as access to and availability of this data remains entirely at the discretion of the respective platform at all times.
  • User Restrictions: Users may not use automated tools (bots, scrapers) to extract data from Grabby for any purpose.

10. Safe Harbor and Intermediary Protections

Grabby operates as an “Intermediary” as defined under Section 2(1)(w) of the Information Technology Act, 2000.

  • Safe Harbor: We claim the protections provided under Section 79 of the Information Technology Act, 2000.
  • Neutral Conduit: We do not initiate the transmission, select the receiver, or modify the information contained in the comparison data retrieved from public sources.

11. Limitation of Liability and Third-Party Responsibility

  • • 9.1 “As Is” Basis: Grabby is provided “AS IS” and “AS AVAILABLE.” To the fullest extent permitted by law, we make no warranties, express or implied, including but not limited to accuracy, completeness, reliability, availability, or fitness for a particular purpose.
  • • 9.2 Liability Cap: Our total liability for any claim shall not exceed ₹500 (Five Hundred Rupees).
  • • 9.3 Third-Party Responsibility: Grabby is not responsible for any aspect of transactions conducted on third-party platforms, including but not limited to product quality, delivery delays, cancellations, refunds, or service failures.

12. Indemnity

Users agree to defend, indemnify and hold harmless Grabby Innovations Private Limited including its officers, employees, and agents from and against any third party claims, damages, penalties, costs and expenses or legal expenses arising directly out of:

  1. Your violations of these Terms of Use or the Applicable laws
  2. Your misuse of the Platform.
  3. Any wilful or fraudulent act or omission by You.
  4. This indemnity shall not apply to claims arising from the Company's own negligence, fraud, or wilful misconduct. The Company shall promptly notify you of any such claim and provide reasonable cooperation in the defence of such claim. The Company reserves the right to assume sole control of defence at its own expense.

Termination and Suspension of Access

Grabby reserves the right, at its sole discretion, to suspend, restrict, or terminate your access to the Platform, in whole or in part, at any time and without prior notice, where it reasonably believes that:
(a) you have violated these Terms or any applicable law;
(b) your use of the Platform poses a security risk or may adversely impact the Platform, its systems, or other users;
(c) you have engaged in fraudulent, abusive, or unlawful activities; or
(d) such action is necessary to comply with legal or regulatory obligations.

Grabby may also, at its discretion, suspend or discontinue the availability of the Platform (or any part thereof) for maintenance, upgrades, or operational reasons, without liability.

You may discontinue use of the Platform at any time. However, termination or suspension of access shall not affect any rights, obligations, or liabilities accrued prior to such termination.

Upon termination, your right to access and use the Platform shall cease immediately. Grabby shall not be liable for any loss of access, data, or functionality resulting from such termination or suspension.

Grabby reserves the right to take appropriate legal action, including reporting to law enforcement authorities, where any user conduct is suspected to be unlawful or harmful.

14. Mandatory Arbitration s Jurisdiction

• 13.1 Governing Law:

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

• 13.2 Arbitration:

Any dispute, controversy, or claim arising out of or in connection with these Terms, the Platform, or the breach, termination, or invalidity thereof ('Dispute') shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, as amended from time to time. The arbitration shall be conducted by a sole arbitrator mutually appointed by the parties, or, in the absence of agreement, appointed in accordance with the provisions of the Arbitration and Conciliation Act, 1996.

  • The Venue of the Arbitral proceedings shall be Rajnandgaon Chhattisgarh.
  • The language of the arbitration proceedings shall be English.

• 13.3 Jurisdiction:

Subject to the arbitration agreement in Clause 13.2, and to the extent courts have jurisdiction over non-arbitrable matters, the courts of Chhattisgarh, India shall have exclusive jurisdiction.

14.4 Consumer Rights Preserved:

Notwithstanding anything contained in this Clause, nothing herein shall restrict, limit, or take away the User's statutory right to approach: (a) any District, State, or National Consumer Disputes Redressal Commission under the Consumer Protection Act, 2019; (b) any other statutory authority, tribunal, or regulator having jurisdiction under applicable Indian law; arbitration.

15. Service Availability

Grabby does not guarantee uninterrupted or continuous access to the Platform.

Service may be affected by external dependencies, technical limitations, or platform restrictions beyond our control.

We reserve the right to modify, suspend, or discontinue the Platform at any time without prior notice.

16. Severability

If any provision of these Terms is found to be invalid, the remaining provisions shall continue in full force and effect.

17. Updates to Terms

Continued use of the Platform constitutes acceptance of the most recent version of these Terms.

18. Entire Agreement

These Terms constitute the entire agreement between you and Grabby regarding the use of the Platform and supersede any prior understandings or representations.

“Privacy and Data Protection”

Your use of the Platform is subject to our Privacy Notice available at https://www.grabby.co.in/privacy ('Privacy Notice'), which is incorporated into these Terms by reference. The Privacy Notice explains what personal data we collect, the purposes of processing, legal basis, your rights as a data principal, and how to contact us regarding data-related queries.

By using the Platform, you acknowledge that you have read and understood our Privacy Notice. In the event of any conflict between these Terms and the Privacy Notice in relation to personal data, the Privacy Notice shall prevail.
